Objectives:<\/p>\n<p>Article 1<\/p>\n<p>The name of the NGO in question is \u2026\u2026\u2026\u2026\u2026\u2026.., which in this statute is called \u201cthe Association\u201d for the sake of brevity. province.<\/p>\n<p>Article 4<\/p>\n<p>Location: The main center of the association is located in the province: North Khorasan-Bojnurd at the address: Bojnurd\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026. If necessary, it can establish a branch or representative office in other parts of the country or abroad after obtaining permission from the licensing authority in accordance with the regulations.    <\/p>\n<p>Article 5<\/p>\n<p>Citizenship: The association has the citizenship of the Islamic Republic of Iran and all its members declare their commitment to the Constitution of the Islamic Republic of Iran. <\/p>\n<p>Article 6<\/p>\n<p>The duration of the association&#8217;s activity is unlimited from the date of establishment.<\/p>\n<p>Article 7<\/p>\n<p>The initial assets of the association, both movable and immovable, amount to \u2026\u2026\u2026\u2026\u2026\u2026. Rials, which have been fully paid by the founding board and placed at the disposal of the association. <\/p>\n<p>Article 8<\/p>\n<p>The founding board of the association are individuals who have come together to prepare the preparations for the formation of the association and will not have any responsibility under the title of founder after the establishment.<\/p>\n<p>Article 9<\/p>\n<p>The goals of the association are:<\/p>\n<p>A: General <\/p>\n<p>\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026<\/p>\n<p>B: Method of implementing the goal <\/p>\n<p>\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026.<\/p>\n<p>Chapter Two: Structure <\/p>\n<p>Article 10<\/p>\n<p>Membership conditions\u2026\u2026\u2026.:<\/p>\n<p>Types of membership: 1. Full member 2. Honorary member   <\/p>\n<p>Article 11<\/p>\n<p>The members of the association are: <\/p>\n<p>1- General Assembly 2- Board of Directors 3- CEO 4- Inspector.<\/p>\n<p>Article 12<\/p>\n<p>The Founding General Assembly is the same as the Founding Board and has the following duties:<\/p>\n<p>1. Take initial steps to establish. <\/p>\n<p>2. Preparing the draft of the statute and approving it.  <\/p>\n<p>3. Selection of the first directors and inspectors of the center<\/p>\n<p>Note 1: The majority required to convene the founding general assembly for the first time is the presence of half plus one of the members, and if the required majority is not reached, the second time it will be recognized by the presence of one-third of the members.  <\/p>\n<p> Note 2: The decisions of the founding general assembly are made and made official by a two-thirds majority of the votes of those present, with the approval of the licensing authority and the specialized agency. <\/p>\n<p>Article 13<\/p>\n<p>The Ordinary General Assembly consists of all members and is the highest decision-making authority, convened on a regular or extraordinary basis.<\/p>\n<p>Article 14<\/p>\n<p>The annual general meeting of the Board of Trustees will be held in October. The meeting will be valid if half plus one of the members is present the first time, and will be valid if any number of members is present the second time. <\/p>\n<p>Note 1- The majority required to make a decision at the Ordinary General Assembly is half plus one of the votes of those present at the formal meeting of the Assembly, except for the election of managers or inspectors, which will be by a relative majority. If the majority is not achieved in the first call, the second meeting will be held at least 10 (ten) days apart and will be valid with any number of members present at the meeting. <\/p>\n<p>Note 2- The ordinary general assembly may be convened on an extraordinary basis at any time at the request of the board of directors or inspector(s) or one-fifth of the members, if the board of directors or inspectors does not comply with the request of the members to convene a general assembly within 20 days. <\/p>\n<p>Note 3 &#8211; Invitations to the Ordinary General Assembly shall be made by placing an advertisement in a widely circulated newspaper at least 10 days and a maximum of 40 days before the assembly is held, and by written invitation.<\/p>\n<p>Note 4- The most widely circulated newspaper for placing advertisements is the newspaper \u2026\u2026\u2026\u2026. <\/p>\n<p>Article 15<\/p>\n<p>Duties of the Ordinary General Assembly:<\/p>\n<p>1- Election of members of the board of directors and inspectors (main and alternate);<\/p>\n<p>2- Hearing and considering the report of the board of directors and the inspector(s);<\/p>\n<p>3- Determining the general policy of the institution;<\/p>\n<p>4- Reviewing and approving or rejecting the proposals of the Board of Directors;<\/p>\n<p>5- Approving the institution&#8217;s balance sheet and budget;<\/p>\n<p>6- Designating a widely circulated newspaper to place the advertisement and invitation;<\/p>\n<p>7- Dismissal of members, board of directors and inspectors.<\/p>\n<p>8- Determining membership fees<\/p>\n<p>9- Approval of publication of the publication. <\/p>\n<p>Article 16<\/p>\n<p>The Extraordinary General Assembly was convened under the following conditions:<\/p>\n<p>1- At the request of the majority of the members of the board of directors or the inspector;<\/p>\n<p>2- At the request of one-fifth of the members, if the board of directors or the inspector does not comply with the members&#8217; request to hold a general meeting within 20 days.<\/p>\n<p>Note 1- The invitation for the extraordinary general meeting shall be in writing and shall be notified to the members of the board of trustees at least 10 (ten) days before its convening.<\/p>\n<p>Note 2- The majority required to convene an extraordinary general assembly for the first time is the same as for an ordinary general assembly, and for the second time, it is convened with the presence of more than one-third of the members who have the right to vote.<\/p>\n<p>Note 3- The decisions of the Extraordinary General Assembly will be valid with the votes of two-thirds of the members present at the meeting.<\/p>\n<p>Article 17<\/p>\n<p>Duties of the Extraordinary General Assembly:<\/p>\n<p>1- Approval of changes to the statutes;<\/p>\n<p>2- Review and approve or reject the dissolution;<\/p>\n<p>3- Change in the amount of capital;<\/p>\n<p>4- Premature dissolution;<\/p>\n<p>5- Any change in nature.<\/p>\n<p>Article 18<\/p>\n<p>General assemblies are governed by a board of directors consisting of a chairman, a secretary, and two observers.<\/p>\n<p>Note 1- The members of the Board of Directors must not be from among the candidates for the Board of Directors and Inspectors and will be elected by announcing the acceptance of their candidacy at the General Assembly.<\/p>\n<p>Note 2 &#8211; The Chairman of the Board of Directors shall be the Chairman of the General Assembly unless the matter concerns the dismissal or election of the Board of Directors.<\/p>\n<p>Note 3: Ordinary and extraordinary general meetings are held under the supervision of the Ministry of Interior.<\/p>\n<p>Article 19<\/p>\n<p>Board of Directors:<\/p>\n<p>The institution will have a board of directors consisting of \u2026. main members and \u2026. alternate members.  <\/p>\n<p>Note 1- Board meetings will be formalized with the presence of more than half of the members, and decisions made by a majority vote of those present will be valid.<\/p>\n<p>Note 2 &#8211; The participation of the members of the Board of Directors in its meetings is essential, and the absence of any member without a valid excuse and without prior notice for up to 2 consecutive meetings or 3 alternate meetings will be deemed as the resignation of the member.<\/p>\n<p>Note 3 &#8211; Invitations to board members must be made legally at least 7 days before the meeting.<\/p>\n<p>Article 20<\/p>\n<p>In the event of resignation, death, or removal of any member of the Board of Directors or Inspector, the alternate member will serve in place of the original member for the remaining term of the Board of Directors or Inspector.<\/p>\n<p>If the number of the board of directors or inspectors is less than the number of original members for any reason and the arrival of substitute members does not complete it, the general assembly will be held as a regular or extraordinary meeting, as the case may be, to complete the remaining number of members.<\/p>\n<p>Article 21<\/p>\n<p>In addition to the meetings that are held regularly and at least once a month, the Board of Directors will convene an extraordinary meeting, as necessary, upon written or telephone invitation from the Chairman or Vice Chairman.<\/p>\n<p>Note: The method of holding an extraordinary meeting is based on internal regulations, which will be approved by the Board of Directors. <\/p>\n<p>Article 22<\/p>\n<p>At the first meeting they hold after being elected, the members of the Board of Directors will elect a chairman, a vice chairman, and a treasurer from among themselves. The limits of their powers will be determined by the statute or bylaws that will be approved by the general assembly of members.<\/p>\n<p>Note 1- The Board of Directors may dismiss the above-mentioned individuals from the aforementioned positions at any time.<\/p>\n<p>Note 2 &#8211; The Board of Directors may, if necessary, define other positions for other members of the Board of Directors.<\/p>\n<p>Article 23<\/p>\n<p>The Board of Directors will be elected for a term of 2 years. Re-election of the Board of Directors for subsequent terms is not prohibited. <\/p>\n<p>Article 24<\/p>\n<p>The Board of Directors is the legal representative of the association and its duties and powers within the framework of the statute are as follows:<\/p>\n<p>Preservation and protection of movable and immovable property, handling accounts, paying debts and collecting claims, implementing resolutions of general assemblies, opening bank accounts through legal procedures, pursuing judicial, administrative and registration proceedings in all legal stages in courts, determining the verdict and appointing a lawyer and dismissing him, settling and resolving lawsuits through compromise (conciliation) and, if necessary, delegating and assigning all or part of its powers to any other person, whether legal or natural, with the right of attorney, and other duties assigned to the board of directors based on the articles of association. In general, the board of directors can take any action and transaction it deems necessary regarding the transfer of movable property that requires the approval of the general assembly, after the approval of the assembly, in the name of the association. The board of directors is also obliged to invite the ordinary general assembly of trustees for the purpose of electing a new board of directors, no later than 3 months before the end of its term. Before posting the announcement, the board of directors is required to submit the order and time of the assembly to the licensing authority for approval and to announce the election results to the relevant and competent authorities at least ten days before the end of its term.   <\/p>\n<p>Note 1 &#8211; Except for matters that, pursuant to the provisions of this statute, decision-making and action on them are within the exclusive jurisdiction of the General Assembly of Members, the Board of Directors has all the necessary powers to manage affairs, subject to compliance with the objectives and the statute.<\/p>\n<p>Note 2 &#8211; After approval, the Board of Directors can take action to conduct transactions or pay the Association&#8217;s current expenses up to the amount of &#8230;.. Rials without the approval of the General Assembly.<\/p>\n<p>Article 25<\/p>\n<p>The association has 1 person as the main inspector and 1 person as the alternate inspector, who are elected by written vote at the ordinary general assembly for a period of one year. The re-election of inspectors is not prohibited. <\/p>\n<p>Article 26<\/p>\n<p>The following persons cannot be elected as inspectors:<\/p>\n<p>1- Those who have been deprived of their social rights in whole or in part due to committing a crime and by virtue of a final court ruling;<\/p>\n<p>2- Managers and CEO<\/p>\n<p>3- Causal and relative relatives of managers and the CEO up to the third degree from the first and second class;<\/p>\n<p>4- Spouse of the persons mentioned in paragraph 2.<\/p>\n<p>Article 27<\/p>\n<p>The duties of the inspector are as follows:<\/p>\n<p>1- Reviewing all financial documents and papers and preparing a report for the general assembly;<\/p>\n<p>2- Studying the annual report of the Board of Directors, both financial and non-financial, and preparing the performance for the information of the General Assembly;<\/p>\n<p>3- Reporting any violation of the provisions of the Articles of Association by the Board of Directors to the General Assembly;<\/p>\n<p>4- A written opinion on the accuracy of the asset statement, performance, and the materials and information that the board of directors and managers have provided to the general assembly;<\/p>\n<p>5- Other duties assigned to the inspector by the statute and applicable laws and regulations.<\/p>\n<p>Note: The inspector can participate in the meetings of the board of directors without having the right to vote. <\/p>\n<p>Article 28<\/p>\n<p>The inspector may at any time conduct any investigation and inspection regarding the operations of the association, request and examine relevant documents and information, and, if necessary, request the convening of an extraordinary general assembly meeting.<\/p>\n<p>Article 29<\/p>\n<p>The Board of Directors, the Managing Director and the Auditors will remain in their positions until their successors are elected by the General Assembly.<\/p>\n<p>Article 30 <\/p>\n<p>The CEO is the highest executive officer of the association and, within the limits of the powers delegated to her by the board of directors and the articles of association, is considered the representative of the association and has the right to sign on behalf of the association.<\/p>\n<p>Note 1: Dismissal of the CEO is within the authority of the board of directors, which must be documented and justified.<\/p>\n<p>Note 2- The term of office of the Managing Director shall not exceed the term of office of the Board of Directors, but his re-election is not prohibited in accordance with the provisions of this Statute. In the event of the expiration of the term of office, the Managing Director is obliged to perform the assigned duties until the appointment of a successor. <\/p>\n<p>Note 3 &#8211; All documents, securities and obligations will be valid with the signature of the Managing Director and Treasurer, and in the absence of the Treasurer, with the signature of the Chairman of the Board of Directors and with the seal of the Association.<\/p>\n<p>Article 31<\/p>\n<p>The CEO is the executor of the resolutions of the General Assembly and the Board of Directors and has the following powers and responsibilities:<\/p>\n<p>1- Legal representation in official authorities and institutions and before natural and legal persons;<\/p>\n<p>2- Hiring, dismissing, and appointing employees within the limits of regulations and approvals and with the approval of the Board of Directors;<\/p>\n<p>3- Maintaining the assets, property, accounts, documents and books of the institution;<\/p>\n<p>4- Exercising the powers delegated to him\/her by the Board of Directors on a case-by-case or periodic basis;<\/p>\n<p>5- Presenting the necessary suggestions regarding the expansion, improvement, and coordination of the Association&#8217;s activities to the Board of Directors for presentation to the General Assembly;<\/p>\n<p>6- Preparing a draft balance sheet, budget, policy and annual report for review by the Board of Directors and submission to the General Assembly;<\/p>\n<p>7- Preparing draft regulations necessary for planning and decision-making by the Board of Directors;<\/p>\n<p>8- Supervising and coordinating the activities of branches, agencies and offices after completing legal procedures;<\/p>\n<p>9- Proposing to hold an extraordinary general assembly meeting, stating the justified reasons, for approval by the board of directors;<\/p>\n<p>10- Performing other duties and powers that are or may be assigned to the CEO in accordance with the articles of association and relevant laws and regulations.<\/p>\n<p>Article 32<\/p>\n<p>The CEO&#8217;s salary and benefits are determined by the board.<\/p>\n<p>If the CEO is not a member of the Board of Directors, he or she may participate in Board of Directors meetings without voting rights.<\/p>\n<p>Chapter Three: Budget and Miscellaneous Materials <\/p>\n<p>Article 33<\/p>\n<p>The association&#8217;s budget is provided through the following:<\/p>\n<p>A) Gifts, donations, and endowments from natural and legal persons, both domestic and foreign, governmental and non-governmental.<\/p>\n<p>B) Endowment and imprisonment. <\/p>\n<p>c) Funds generated from activities carried out within the framework of the organization&#8217;s subject matter, objectives, statutes, and these regulations.<\/p>\n<p>Article 34<\/p>\n<p>The association is required to record income and expenses in legal books and submit its balance sheet along with an executive performance report to the licensing authority no later than two months after the end of each fiscal year. If the said authority requests a financial or executive report during the year, the association is required to submit it. <\/p>\n<p>Note 1- The Board of Directors is required to open a bank account in one of the official banks and spend all annual income on the goals and duties in accordance with the statute, and keep funds in excess of the association&#8217;s expenses in the same account. If there are funds in excess of the association&#8217;s expenses, they should be kept in the same account. <\/p>\n<p>Note 2- The fiscal year of the association shall be consistent with the solar year and shall always end at the end of Esfand, with the exception of the first fiscal year, which shall be from the date of establishment until Esfand of the same year. All documents, files, and correspondence shall be kept at the association\u2019s central office. <\/p>\n<p>Note 3- Official correspondence of the association is signed by the CEO.<\/p>\n<p>Note 5- The resolutions and minutes of the Board of Directors meetings will be recorded in special books in chronological order and signed by the relevant members.<\/p>\n<p>Article 35<\/p>\n<p>The board of directors is required to notify the licensing authority of any changes or amendments to the articles of association, and if the licensing authority agrees, submit them to the general assembly for approval, and notify the licensing authority of the results for the purpose of carrying out administrative registration procedures.<\/p>\n<p>Article 36<\/p>\n<p>The board of directors is required to notify the authority issuing the activity license of any changes in address, including location, contact numbers, e-mail, and other similar matters.<\/p>\n<p>Article 37<\/p>\n<p>The association will have a special letterhead, seal or logo, the text of which will be prepared with the approval of the board of directors and in accordance with the regulations. The board of directors is required to send a sample of the prepared letterhead, seal and logo to the authority issuing the activity license and registering companies. <\/p>\n<p>Note &#8211; The board of directors has a legal responsibility to maintain and protect the seal and emblem.<\/p>\n<p>Article 38<\/p>\n<p>Liquidation: In the event of the dissolution of the association, the extraordinary general assembly shall elect at least 3 people as the liquidation board, and this board shall be required to submit the association&#8217;s assets to the extraordinary general assembly for approval after examining the accounts, settling debts, collecting remaining claims, and determining the tangible assets, both movable and immovable. The aforementioned board shall be required to submit the results to the authority issuing the activity license.  <\/p>\n<p>Note 1 &#8211; The Extraordinary General Assembly is required to transfer the organization&#8217;s assets after its liquidation, which will be determined under the supervision of the licensing authority, to one of the non-governmental organizations with similar activities.<\/p>\n<p>Note 2: The settlement of related matters will be carried out in accordance with the provisions of the Articles of Association and applicable laws.<\/p>\n<p>Note 3 &#8211; The liquidation board shall elect one person from among itself as the liquidator.<\/p>\n<p>Note 4 &#8211; The liquidator is required to submit a copy of the liquidation report to the licensing and registration authority for companies.<\/p>\n<p>Article 39<\/p>\n<p>If the activities included in the objectives of this statute require obtaining a special license from other government agencies, the association is required to obtain the desired license.<\/p>\n<p>Article 40<\/p>\n<p>Matters not provided for in this statute will be implemented based on the relevant regulations for the establishment and activities of non-governmental organizations and the general provisions of the Commercial Law.<\/p>\n<p>Article 41<\/p>\n<p>This statute, consisting of 3 chapters, 41 articles and 34 notes, was approved by the founding general assembly in the meeting dated \u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026.. Executive regulations, establishment and activities of non-governmental organizations <\/p>\n<p>Chapter One &#8211; General<\/p>\n<p>Article 1- In these regulations, the following words and phrases shall be used instead of the related detailed concepts:<br \/>A- Non-governmental organization, which is called \u201corganization\u201d in these regulations, refers to organizations that are established voluntarily by a group of non-governmental natural or legal persons in compliance with the relevant regulations and have non-profit and non-political goals.<\/p>\n<p>Note 1- The titles &#8220;community&#8221;, &#8220;association&#8221;, &#8220;center&#8221;, &#8220;group&#8221;, &#8220;assembly&#8221;, &#8220;house&#8221;, &#8220;institution&#8221; and the like can be used in place of the word &#8220;organization&#8221; in naming.<\/p>\n<p>Note 2: The term &#8220;non-governmental&#8221; means that government agencies do not interfere in the establishment and administration of the organization. The participation of government officials and employees in the establishment and administration of the organization, if it is outside their government title and position, will not prevent the organization from being described as non-governmental. <\/p>\n<p>Note 3: Non-political goals include activities that are not covered by Article 1 of the Political Parties Law.<br \/>Note 4: Non-profit objectives include the absence of commercial and trade activities for the purpose of distributing its benefits among the members, founders, managers, and employees of the organization.<\/p>\n<p>Note 5 &#8211; Voluntary means participation, establishment, and management of the organization based on the principle of free will of individuals.<br \/>B- The founding board refers to the group of individuals who establish the organization.<br \/>C- An activity license is a document issued by the authorities specified in these regulations in compliance with the relevant criteria for the formation of an organization.<\/p>\n<p>D- The supervisory authorities include the county supervisory board (consisting of the governor, a representative of the county Islamic Council, and a representative of the county non-governmental organizations), the provincial supervisory board (consisting of the governor, a representative of the county Islamic Council, a representative of the county Islamic Council, and a representative of non-governmental organizations), and the national supervisory board (consisting of the relevant deputy minister of interior, a representative of the Supreme Council of Provinces, and a representative of non-governmental organizations), which, based on this regulation and in compliance with the relevant regulations, act to supervise non-governmental organizations at the county, provincial, and national levels, other than those organizations for which a specific supervisory authority has been provided for in accordance with the law. Supervision of trans-provincial, national, or international non-governmental organizations will be with the national supervisory board. <\/p>\n<p>Article 2 &#8211; The organization acquires legal personality after obtaining an activity license and registering in accordance with the requirements of these regulations and other current regulations.<\/p>\n<p>Article 3- The subject of the organization&#8217;s activity includes one of the following: scientific, cultural, social, sports, artistic, charity and charitable affairs, humanitarian, women&#8217;s affairs, socially disadvantaged people, support, health and treatment, rehabilitation, environment, development and prosperity, and the like, or a combination of them.<\/p>\n<p>Chapter Two &#8211; Rights and Duties<\/p>\n<p>Article 4- The organization has the right to operate in accordance with the subject of its activity, in compliance with these regulations and other relevant laws and regulations, and to take action, including the following:<br \/>A- Providing relief services needed by government and public non-governmental organizations.<br \/>B- Expressing opinions and suggesting appropriate solutions:<\/p>\n<p>1- In the planning process of governmental and non-governmental public authorities at the city, provincial or national levels, as the case may be.<br \/>2- Regarding the effects and results of the activities of governmental and non-governmental public agencies, existing deficiencies and problems to the relevant legal authorities and agencies.<br \/>C- Assisting in the implementation of programs and projects of governmental and non-governmental public agencies through agreements and understandings with them.<br \/>D- Holding meetings and marches to achieve the organization&#8217;s goals.<br \/>E- Publication of the publication.<br \/>C- Carrying out any other operations to achieve the objectives stipulated in the organization&#8217;s statutes.<br \/> G- The right to seek legal action in judicial and quasi-judicial authorities.<\/p>\n<p>Article 5 &#8211; The organization is required to submit its annual executive and financial performance report to the relevant supervisory authority no later than two months after the end of each fiscal year, as well as other executive and financial performance reports during the year upon the request of the aforementioned authority, as the case may be, and to publish a summary of the aforementioned annual report for public information within its geographical area of \u200b\u200bactivity.<\/p>\n<p>Article 6 &#8211; The organization&#8217;s expenses are financed from the following sources:<br \/>A &#8211; Gifts, donations and endowments from natural and legal persons, both domestic and foreign, governmental and non-governmental.<br \/>B &#8211; Endowments and imprisonment.<br \/>C &#8211; Funds from activities carried out within the framework of the organization&#8217;s subject of activity, objectives and statutes, and these regulations.<br \/>D &#8211; Membership fees in the organization.<\/p>\n<p>Note 1- Before receiving assistance from foreign sources, the organization is required to notify the relevant supervisory authorities of the details of the assisting source, the amount of assistance, and its nature in detail, as the case may be. The said authorities are required to seek the opinion of the Ministries of Intelligence and Foreign Affairs and the Central Bank of the Islamic Republic of Iran within a maximum of one week from the date of receipt of the aforementioned notification. <br \/> The agreement of the aforementioned agencies is essential and these agencies are required to provide an opinion within a maximum of one month from the date of receipt of the inquiry. Failure to provide a response within this period shall be deemed to be an agreement. <\/p>\n<p>Note 2: Receiving assistance from official international and regional organizations and UN agencies does not require a permit. The list of these organizations is prepared by the Ministry of Foreign Affairs and provided to the Supervisory Board. <br \/>Article 7: The distribution of the organization&#8217;s assets, profits, or income among its founders, members, managers, and employees before and after dissolution is prohibited.<br \/>Article 8 &#8211; The organization&#8217;s statutes and activities must not contradict the principles of the Constitution.<br \/>Article 9- The organization is obliged to provide access to its information and documents to inspectors of the relevant supervisory authorities. Inspectors must also examine the aforementioned documents and information in the presence of the organization\u2019s representative and only at the organization\u2019s office. The examination must be conducted in a manner that does not interfere with the organization\u2019s duties. It is prohibited to remove documents from the organization for the purpose of inspection, except by order of a competent judicial authority.   <\/p>\n<p>Article 10- The organization&#8217;s activities in other countries must be subject to obtaining a general permit from the supra-provincial and national supervisory authority.<br \/>Note 1: Before announcing the result to the applicant organization, the aforementioned authority must seek the opinion of the relevant government agencies, including the Ministry of Foreign Affairs. The aforementioned agencies must provide the necessary response within a maximum of one month, otherwise their opinion will be considered favorable. <br \/>Note 2: The aforementioned reference must provide the necessary response to the applicant within a maximum of 45 days from the date of the request.<br \/>Note 3: The submission of an application by an organization with a city or province scope of activity, as the case may be, is initially made through the city or province supervisory authority.<br \/>Note 4: The organization&#8217;s participation in international conferences, training courses, and exhibitions must be done with written notification to the supervisory authorities.<\/p>\n<p>Article 11 &#8211; The organization must comply with the laws, regulations, and behavioral patterns of civil institutions in its activities and refrain from committing criminal acts.<br \/>Article 12 &#8211; The Organization has the right to access information available in public institutions, and the aforementioned institutions are required to provide the Organization with their unclassified information.<br \/>Article 13 &#8211; Government and public organizations and institutions are required to seek the opinion of the organization in the decision-making process and, as appropriate, invite them to participate in meetings and record a report of the points of view presented in the documents of the relevant organization.<\/p>\n<p>Article 14: The government is obliged to identify the duties, affairs, and activities that can be assigned to the organization by the executive bodies and take action to assign them, and the organization also has the right to submit its proposals to the government in this regard.<br \/>Article 15 &#8211; Government organizations are required to provide the basis for the organization&#8217;s participation in monitoring the proper implementation of public affairs and cooperate with their fact-finding committees as appropriate.<br \/>Article 16 &#8211; The organization has the right to file lawsuits against natural and legal persons in judicial authorities regarding its activities and to protect public interests.<\/p>\n<p>Chapter Three &#8211; Issuance of Activity Licenses<br \/>Article 17- Applicants for establishing an organization are required to submit a license application to the supervisory authorities specified in paragraph (d) of Article (1), except in cases where a specific authority has been designated by law to issue licenses to the relevant organizations.<br \/>Note 1- The secretariat of the country, province and city supervisory board shall be established in the Ministry of Interior, the governorate and the governorate, respectively.<br \/>Note 2: The Ministry of Interior, the Governorate and the Governorate are responsible for the Secretariat of the National, Provincial and County Supervisory Boards, respectively.<br \/>Note 3: The implementation of administrative procedures and taking the measures subject to these regulations shall be carried out by the Secretariat of the Supervisory Board.<br \/>Note 4 &#8211; The founding board must have at least five members.<br \/>Article 19: Non-governmental organizations that have a common subject or goal of activity may form a network or become members of networks of international organizations if the following conditions are met: A- At least 2 years have passed since their registration date.<br \/>B- They have not been convicted of the offenses in paragraph (c) or (d) of Article (28) of these regulations.<br \/>C- They have fulfilled the duties stated in Article (5) of these regulations.<br \/>D- Their nationality must be Iranian.<br \/>E- The founding members must be at least 5 Iranian non-governmental organizations.<br \/>Note 1- Conducting the inquiries mentioned in Notes (2) and (3) of Article (22) of these regulations is not required for establishing networks of non-governmental organizations.<br \/>Note 2: Issuing activity licenses for non-governmental organization networks is the responsibility of the country&#8217;s supervisory board and is subject to the provisions of this regulation. The rights, duties and other regulations of the aforementioned networks are the same as those foreseen for non-governmental organizations. <br \/>Article 20 &#8211; In order to obtain an activity license, the founding board must submit the following documents, as applicable, to the authorities mentioned in Article (17) of these regulations: A &#8211; Completed application form.<br \/>B- A copy of the identity documents of the founding board.<br \/>C &#8211; The organization&#8217;s statutes.<br \/>D &#8211; The first minutes of the founding board.<br \/>Article 21- The organization&#8217;s statutes must contain the following:<br \/>A- The organization&#8217;s objectives.<br \/>B &#8211; Subject of activity.<br \/>C &#8211; Duration of activity.<br \/>D &#8211; Main center of activity.<br \/>E &#8211; How to establish branches.<br \/>C- The organization&#8217;s organs and structures, the method of selection, description of their duties, powers, and responsibilities.<br \/>G &#8211; Authorized signature holders.<br \/>H &#8211; Conditions for accepting membership.<br \/>X- Sources of income and assets.<br \/>D- How to change and revise the articles of association.<br \/>Z &#8211; Method of dissolution.<br \/>R &#8211; Determining the status of assets after liquidation.<br \/>G &#8211; Geographical scope of the organization&#8217;s activities.<br \/>Note 1 &#8211; The organization&#8217;s statutes must stipulate free voting by all members to elect directors, as well as the method of changing directors and their tenure, as well as fundamental decisions in making any changes and having an impact.<br \/>Note 2: The organization&#8217;s statutes must clearly specify the manner in which the organization&#8217;s executive and financial performance reports will be presented to its members, as well as the organization&#8217;s inspection and auditing.<br \/>Note 3: The geographical scope of the organization&#8217;s activities is determined by the proposal of the founding board and based on the country&#8217;s division indicators.<br \/>Article 22 &#8211; The authority issuing the activity license &#8211; subject to Article (17) of these regulations &#8211; must, after receiving the organization&#8217;s application, announce its opinion on the approval or rejection of the application within a maximum of two weeks.<br \/>Note 1: If the Supervisory Board rejects the application, it is required to notify the applicant in writing of the reasons for rejecting the application within a maximum of two weeks.<br \/>Note 2: If the subject of the organization&#8217;s activity is related to the duties of any government agency, it is also necessary to obtain the approval of the relevant government agency or agencies, as the case may be.<br \/>Note 3: The Supervisory Board is required to take action within one week from the date of receipt of the request to obtain the opinion of the competent authority (Ministry of Intelligence, Ministry of Justice, Police Force of the Islamic Republic of Iran and specialized agencies), and that authority is also required to announce its opinion within a maximum of one month, otherwise the opinion of the said Board is considered to be in agreement.<br \/>Note 4 &#8211; The applicant for a license may appeal the rejection of her application in the following manner: A &#8211; Against the decision of the county supervisory board within one month from the date of notification, to the provincial supervisory board, and if the application is rejected by the provincial supervisory board, to the national supervisory board within one month.<br \/>B &#8211; The decision of the provincial supervisory board shall be communicated to the national supervisory board within one month from the date of notification.<br \/>C- The decision of the National Supervisory Board will be enforceable in any case, but can be appealed in the Administrative Court of Justice.<br \/>Article 23 &#8211; The General Assembly and the Board of Trustees (as applicable) are the highest executive authority of the organization and must meet the conditions stipulated in Article (18) of these regulations.<br \/>Article 24- The organization must have Iranian citizenship.<br \/>Article 25- The organization is required to notify the relevant licensing authority of any changes in the provisions of the articles of association, board of directors, board of trustees, and address. If the aforementioned authorities declare that the changes are not inconsistent with the provisions of these regulations, the organization is required to register with the Registration Office of Companies and Non-Commercial Institutions and publish it in the official gazette in accordance with the registration regulations. <\/p>\n<p>Chapter Four &#8211; Supervision<br \/>Article 26- The duties of the provincial and city supervisory authorities, respectively, in relation to non-governmental organizations with scope of activity at the provincial and city levels, are as follows:<br \/>A- Receiving and reviewing the statutes of applicants for establishing an organization and issuing their activity licenses after meeting the conditions and criteria stipulated in these regulations.<br \/>B- Receiving annual executive and financial performance reports and, if necessary, periodic reports.<br \/>C- Case-by-case review of the organization&#8217;s executive and financial performance, if necessary.<br \/>D- Supervising the implementation of the provisions of this regulation.<br \/>Article 27- The duties of the supra-provincial and national supervisory authority regarding non-governmental organizations are: A- Receiving and reviewing the statutes of applicants for establishing non-governmental organizations with a supra-provincial and national geographical scope and issuing their activity licenses after meeting the conditions and criteria stipulated in these regulations.<br \/>B- Receiving annual executive and financial performance reports and, if necessary, their interim reports.<br \/>C- Investigating, expressing opinions, and making decisions on complaints received from applicants regarding delays or refusals to issue activity licenses and other complaints and disputes between non-governmental organizations and governorates.<br \/>D- Supervising the proper implementation of the provisions of these regulations.<br \/>Note &#8211; Supervision of specialized non-governmental organizations will be carried out by the relevant agencies in coordination with the Ministry of Interior.<br \/>Article 28 &#8211; Supervisory authorities are required, within the scope of their activities in receiving reports or information about the organization&#8217;s failure to comply with the provisions of this regulation, to examine it in the advisory presence of a representative of the relevant non-governmental organization and a representative of the relevant specialized government agency. If a violation is found, they shall implement the following steps, as appropriate: A &#8211; A verbal warning with a one-month deadline to correct the situation.<br \/>B- Written notice to be included in the file with a one-month deadline to correct the situation.<br \/>C- Suspension of the activity license for a period of 3 months.<br \/>D- Request the court to cancel the activity license if the situation is not corrected.<br \/>Note 1: The aforementioned matters will be notified by the head of the Supervisory Board Secretariat and recorded in the file.<br \/>Note 2: The manner in which supervisory authorities will act based on this article will be determined in a circular issued by the Minister of Interior, which will be issued within one month of the date of issuance of this regulation.<br \/>Article 29: Issuing licenses for the activities of foreign and international non-governmental organizations in Iran and supervising them will be the responsibility of a board consisting of a representative of the Ministry of Foreign Affairs, a representative of the Ministry of Interior, a representative of the Ministry of Intelligence, and a representative of the ministry or government organization related to the subject of the activities of the foreign or international non-governmental organization.<br \/> Note &#8211; The activities of the aforementioned non-governmental organizations after obtaining a license are subject to the provisions of this regulation.<\/p>\n<p>Chapter Five &#8211; Other Regulations<br \/>Article 30- Non-governmental organizations that are examples of these regulations and have been established in the implementation of current regulations so far must adapt their status to the provisions of these regulations, otherwise they will not be eligible for the benefits and facilities of these regulations.<br \/>Article 31- The dissolution of an organization, whether voluntary or forced, shall be carried out in accordance with the relevant provisions of the Regulations for the Registration of Non-Commercial Organizations and Institutions, approved in 1937 with subsequent amendments.<br \/> Note &#8211; If the organization&#8217;s activity period is specified in the statute as limited, after its expiration and failure to renew it, the organization will automatically be dissolved according to the provisions of these regulations.<br \/>Article 32 &#8211; Labor and employer organizations subject to Chapter 6 of the Labor Law, higher education units or research institutions subject to Clause &#8220;L&#8221; of Article (11) of the Law Amending the Law Establishing the Ministry of Science and Higher Education &#8211; approved in 1974, free scientific schools as well as non-profit schools subject to the Law Establishing Non-Governmental Schools, and other non-governmental organizations whose establishment and dissolution are explicitly delegated to government agencies in the current laws, are excluded from the scope of the organization subject to these regulations.<br \/>Note 1: The Ministry of Interior is the authority issuing licenses for specialized non-governmental organizations, in compliance with the provisions of this regulation and after obtaining the opinions of the relevant agencies.<br \/>Note 2: The procedure for issuing licenses for non-governmental youth organizations is in accordance with the memorandum of understanding signed by the Ministry of Interior and the National Youth Organization.<br \/>Article 33- From the date of notification of this approval, approvals No. 12608\/T27367H dated 9\/11\/1381, 34909\/T27367H dated 24\/6\/1382, and 55877\/T29645H dated 15\/10\/1382 will be canceled. Stages of establishment and issuance of activity licenses for non-governmental organizations<\/p>\n<p>A: Demand stage <\/p>\n<p>1- Visit the North Khorasan Governorate portal<\/p>\n<p>2- Entering the NGO sector<\/p>\n<p>3- Refer to the section on requesting the establishment and activities of non-governmental organizations.<\/p>\n<p>4- Completing the electronic application form for establishing a non-governmental organization<\/p>\n<p>5- Note the tracking number after confirming the registration of the application for further follow-up and announcing 5 suggested names for inquiries<\/p>\n<p>6- Announcement of the opinion of the Supervisory Board Secretariat regarding the application for establishment<\/p>\n<p>If the application for establishment is approved<\/p>\n<p>B: Inquiry stage <\/p>\n<p>7- Completing the founders&#8217; personal information form and sending the proposed statute through the aforementioned information platform and delivering its original to the Secretariat of the Supervisory Board by the representative introduced by the founding members (presenting a letter of introduction signed by the founding members is mandatory).<\/p>\n<p>8- Conducting four inquiries and sending the file to the NGO Supervisory Board for review and issuing a final decision.<\/p>\n<p>If the supervisory board&#8217;s opinion is positive,<\/p>\n<p> C: Registration stage <\/p>\n<p>9- Holding a meeting of the founding general assembly, preparing and presenting the minutes, taking into account the following:<\/p>\n<p>1-9- Approval of the draft statute, the text of which has been signed by the founding members.<\/p>\n<p>2-9- Appointment of the board of directors and inspectors (in addition, the board of directors shall also take action, with a separate meeting minutes, to appoint the members of the board of directors, including the chairman, treasurer, and managing director). In addition, the founding general assembly must also decide on the determination of the membership fee and approve it in its meeting minutes.<\/p>\n<p>10- Sending legal registration documents to the Department of Land and Property Registration for registration of the organization by the Secretariat of the Supervisory Board.<\/p>\n<p>11- Submitting the establishment notice issued by the registration office as well as the establishment notice published in the official newspaper of the Islamic Republic of Iran for issuing an establishment license.<\/p>\n<p>12- Issuing a license to operate the relevant NGO, a characteristic of a standard NGO.<\/p>\n<p>1. Has obtained official and legal permits based on the domestic laws of the field of activity (country of registration and activity). <\/p>\n<p>2. It has a relatively large social base (target group) and at least 200 members (service providers). <\/p>\n<p>3. It has a place to conduct administrative affairs and focus activities in a fixed and independent manner in an office format, and as close as possible to the target area or audience group. <\/p>\n<p>4. Has a work team including: planning, execution and coordination, administrative-financial, statistics and information, advertising, etc., in a professional manner, has a balanced, symmetrical, light and agile organizational chart, and designs matters based on the participation of members and divides work according to the ability of members.  <\/p>\n<p>5. It has a clear and expressive logo, letterhead, and unique seal. <\/p>\n<p>6. It has specific goals, a specialized subject of activity, and (transparent) methods of achieving the goals. <\/p>\n<p>7. It has effective, two-way, active and publicly accessible means of communication (telephone, fax, website, mailbox, voice and electronic, etc.). (To be included on the organization&#8217;s business card)  <\/p>\n<ul>\n<li>It uses diverse and transparent information and advertising tools in the following areas: introducing the non-governmental organization, goals, past and future plans, achievements, managers, membership procedures, etc. <\/li>\n<li>Providing statistics and information regarding the number and type of members, income and expenses, service delivery methods, etc.<\/li>\n<li>Addresses of offices, branches, centers and relevant officials and how to contact them to provide or receive services.<\/li>\n<li>Publishing and distributing general and specialized brochures on the subject of future activities and programs.<\/li>\n<\/ul>\n<p>8. It has the capacity to circulate and access information through communication networks for members and the public. <\/p>\n<p>9. The ability and possibility of teamwork and growth at horizontal and vertical levels exists in it as a meritocratic system for all members, without considering exclusivity or discrimination. <\/p>\n<p>10. Possesses and strengthens the necessary capacities and abilities for bargaining, lobbying, and gaining points in the specialized field of activity and within the scope of its organizational goals.<\/p>\n<p>11. It is managed by capable, informed, expert, and committed managers; in this regard, they not only observe professional management principles based on up-to-date knowledge, but also demonstrate the ethical, psychological, and personal standards of a manager. <\/p>\n<p>12.
